Please read these Terms and Conditions of the "Agreement" carefully before using this website. By using pnstrade.club or any other websites (collectively, the "Company Websites"), owned and operated by PNSTRADE, (referred to herein as "Company" "we," "us” and "our”), you agree to be bound by this Agreement. If you do not agree to the terms and conditions of this Agreement, please do not use any of the Company Websites. Company reserves the right to change this Agreement, in whole or in part, from time to time at their sole discretion, and will strive to provide you with notice of such change by any reasonable means, including without limitation posting the revised draft of this Agreement on the Company Websites. You should always check this Agreement prior to using the Company Websites. Your continued use of the Company Websites following the posting of changes to this Agreement will mean that you accept these changes. For purposes of this Agreement, the following terms have the following meanings:

"Company Distributor / Direct Sellers/ Renovians/ Stock Pointers/ Independent Sales Representative/Company Business Owner:

• An individual who has agreed, pursuant to the terms of Company Distributorship or Direct Selling Contract, to be a Company Independent Sales Representative.
• Who remains an active Company Independent Sales Representative in good standing.
• whose Company Independent Sales Representative Contract / Distributorship Contract or status as an Independent Sales Representative has not been terminated or suspended.

"Company Distributorship Contract or Independent Sales Representative Contract: A Company direct selling contract, collectively with the Company Terms and Conditions and any Policies and Procedures attached to or accompanying such contract. The Company direct sellers / Company Distributor / Company Stock pointers/ Company Business Owner shall be collectively called the “Company”. If you are a Company, you acknowledge and agree that your use of the Company WEBSITES is subject not only to this Agreement, but also to the terms and conditions contained in your Company direct selling contract.

You are compensated as per the Business model. All the terms mentioned in the Contract is also a part of this agreement. You are suggested to read them carefully before signing the Contract.

KYC Verification: You need to submit your KYC details within 30 days of the date of Registration. If the KYC details are not submitted in 30 days, you shall not be entitled to the commission of any previous period.

Restricted Uses :

The Company WEBSITES are owned and operated by Company. The contents of the Company WEBSITES are copyrighted under Indian copyright laws. Except as stated herein, none of the material on the Company WEBSITES may be copied, reproduced, distributed, republished, uploaded, displayed, posted or transmitted in any way whatsoever. Subject to your compliance with this Agreement, and solely for as long as you are permitted by Company to access and use the Company WEBSITES, you may download one (1) copy of any particular material from the Company WEBSITES for your own personal, non-commercial use, provided that you agree to abide by any copyright notice or other restrictions contained in or applicable to such materials, including any author attribution, copyright or trademark notice or restriction in any such material that you download. Modification of the materials, or use of the materials for any other purpose, whether commercial or non-commercial, is a violation of Company's copyright, trademark and other proprietary rights (intellectual or non-intellectual).

"Company" and the other Company trademarks, trade names, service marks and logos appearing on the Company WEBSITES are proprietary trademarks of Company. The use of any of our trademarks or any other content made available through the Company WEBSITES, except as expressly provided in this Agreement, is strictly prohibited.

Information Submitted Through Company WEBSITES

You represent and warrant that any information you provide in connection with your use of the Company WEBSITES is true, accurate and complete, and that you will maintain and update such information as needed, such that the information remains true, accurate and complete. In addition, if the veracity of this information is not established or cannot be proved, Company reserves all the rights to terminate or suspend your contract/distributorship.

Registration - User Names and Passwords

You may be required to register with Company in order to access certain areas of the Company WEBSITES, for example, to purchase Company products or otherwise initiate Transactions (as defined below). After successful registration you will receive a Distributor ID. For Distributors, ID will enable them to purchase products, sponsor new distributors, use a shopping wallet, commission wallet, receive commissions and many more reports in his distributor user panel. With respect to any such registration, we may refuse to grant you, and you shall not use, a username or email address that belongs to or is already being used by another person; that may be construed as impersonating another person; that violates the intellectual property or other rights of any person; that is offensive; or that we reject for any other reason in our sole discretion. You are solely responsible for maintaining the confidentiality of any password you may use to access the Company WEBSITES, and you agree not to transfer your password or user name, or lend or otherwise transfer your use of or access to the Company WEBSITES, to any third party. You are fully responsible for all Transactions (including any information transmitted in connection with any Transactions) and other interactions with the Company WEBSITES that occur in connection with your username. You agree to immediately notify Company of any unauthorized use of your password or user name or any other breach of security related to your account, your username or the Company WEBSITES, and to ensure that you "log off" and exit from your account with the Company WEBSITES (if applicable) at the end of each session. We are not liable for any loss or damage arising from your failure to comply with any of the foregoing obligations.

Company corporate policies require that employees with access to confidential customer information may not use or disclose the information except for business use. All employees are required to safeguard such information, as specified in their confidentiality agreements with Company.

Contests and Similar Promotions

By participating in any such contest, or promotion, you agree to become subject to those rules, which may vary from the terms and conditions set forth herein. Company urges you to read the applicable rules, if any, which will be linked from the particular activity, and to review the Security and Privacy Statement, which, in addition to this Agreement, will govern any information you submit in connection with such activities.

General Terms of usage for Distributor:

If you wish to purchase any product or service or to make a payment to your Company account through a Company WEBSITE (each such purchase or other transaction, a "Transaction"), you may be asked to supply certain information relevant to your Transaction, including without limitation, Details of Mode of payment used, your billing address and your shipping information or bank account number. Any such information provided through the Company WEBSITES will be treated by Company in accordance with this Agreement and the Privacy Statement. Verification of information may be required prior to the acknowledgment or completion of any Transaction. Company reserves the right, with or without prior notice, (a) to change product or service descriptions, images and references; (b) to limit the available quantity of any product or service; (c) to honor, or impose conditions on the honoring of, any coupon, coupon code, promotional code, incentive offer or other promotion; (d) to prevent or prohibit any user or customer from making any or all Transaction(s); and/or (e) to refuse to provide any user or customer with any product or service. Price and availability of any product or service offered through the Company WEBSITES are subject to change without notice, and Company shall not be responsible for errors in the prices or descriptions of such products or services. Refunds and exchanges will be subject to Company's refund and exchange policies then in effect. You agree to pay all charges that may be incurred by you or on your behalf through the Company WEBSITES, at the price(s) in effect when such charges are incurred, including without limitation all shipping and handling charges. In addition, you remain responsible for any taxes that may be applicable to your Transactions.

As an Active Distributor, you can purchase products from the Company website at Distributor Price (DP).

You as our Distributor will not use the Product of the company in a manner, which defies any law or public policy or is contrary to any of the terms and conditions of this Agreement.

You will not copy, reproduce, redistribute, resell or make unlawful use of the Product or Services or Business plan or contents of the website of the company and any such violation will automatically lead to termination of this Agreement by the company in addition to the privileged customer rendering himself liable to prosecution under the applicable civil & criminal laws and under prescribed law.

Additional Terms for Distributors

• Distributors can sponsor new persons as distributors and sell them Company products to earn commission as proposed business plan by company given on Company website.
• The Applicant age should be minimum 18 years to become a Company Distributor.
• Company Distributor Should have to submit their 4 types of KYC from his user panel under MY profile option. (Address/PAN/Bank/Photo ).
• Company Distributor needs to submit his/her Address KYC (i.e. Aadhar Card/Passport/driving license/Vater ID) within 30 days from date of registration to become eligible for monthly payout commission. Distributorship shall be cancelled in case of failure to submit KYC in a given time frame.
• To transfer the commission smoothly the distributor should submit a cancel cheque/passbook with his name printed on it and the commission will be released only by NEFT on 10th of every month. In case of holiday, it will be released on the working day after that.

Intended Audience

Company makes no representation or warranty that any Company WEBSITE, in whole or in part, or any products, services, or materials made available through the Company WEBSITES, are appropriate or available for use in other locations. Limitation of Liability

In no event shall Company, its subsidiaries or affiliates, or any of their respective employees, officers, directors, agents or representatives (the foregoing entities, collectively, the "Company entities") be liable for any indirect, incidental, special or consequential damages arising out of (a) this agreement, (b) the Company websites, (c) your use of or inability to use the Company websites, or (d) the acts or omissions of Company independent representatives, in each event, even if Company or such party has been advised of the possibility of such damages. Company is not responsible for any unauthorized access to or alteration of your submissions, transmissions or data or for any material or data sent or received or not sent or received. Company is not responsible or liable for any threatening, defamatory, obscene, offensive or illegal content or conduct of any other party (including without limitation any Company independent party), or any infringement by a third party of another's intellectual property, privacy or other rights. you agree that any content downloaded or otherwise obtained by you through the use of Company websites is done at your own risk and that you will be solely responsible for any damage done to your computer system or loss of data that results from the download of such content. without prejudice to what is stated hereinabove in this clause, in no event shall Company's total liability to you for all damages, losses and causes of action (whether in contract, tort or otherwise) arising from or related to this agreement, the Company websites, or your use of or inability to use the Company websites exceed the amount paid by you, if any, for using or accessing the Company websites.

Indentification

You will indemnify and hold the Company Entities harmless from and against any and all claims, actions, demands, causes of action, costs and expenses including attorney’s fees and other proceedings arising from or related to any of the following (the "Claims"): (a) your use of, inability to use, or activities in connection with the Company WEBSITES; (b) any violation of this Agreement or any other Company terms, conditions or policies by you or through any account you may have with any Company WEBSITE; (c) any Transaction; (d) any allegation that any Submission or other materials that you make available through the Company WEBSITES infringe or otherwise violate the intellectual property, privacy, or other rights of any third party; or (e) your violation of any rights of any Company WEBSITE visitor, user, or customer, or any other third party;(f) misuse of Company Distributor ID card or any act of whether directly or indirectly or against any violation of this Agreement and you agree to reimburse the Company Entities on demand for any damages, losses, costs, judgments, fees, fines and other expenses they incur (including attorneys' fees and court costs) as a result of any CLAIM(S).

Termination and Enforcement

This Agreement is effective until terminated by Company. You agree that Company, at its sole discretion, may terminate your access to or use of the Company WEBSITES, at any time and for any reason, including without limitation if Company believes that you have violated or acted inconsistently with the letter or spirit of this Agreement (including but not limited to your failure to comply with the Code of conduct set forth in Section 6 above). Upon any such termination, your right to use the Company WEBSITES will immediately cease. You agree that any termination of your access to or use of the Company WEBSITES may be effected without prior notice and that Company may immediately deactivate or delete any user name and/or password used by or provided to you, and all related information and files associated therewith, and/or bar any further access to such information or files. You agree that Company shall not be liable to you or any third party for any termination of your access to the Company WEBSITES or to any such information or files, and shall not be required to make such information or files available to you after any such termination. Company reserves the right to take steps that Company believes are necessary or appropriate to enforce and/or verify compliance with this Agreement (including without limitation in connection with any legal process relating to your use of the Company WEBSITES and/or a third party claim that your use of the Company WEBSITES is unlawful or violates such third party's rights). That the Company Distributor, during the use of this agreement shall not carry on a similar business, whether independently or in association with others, directly or indirectly and any violation of this ground will automatically lead to termination of this Agreement by Company in addition to the Company Distributor rendering himself liable to prosecution under the applicable civil & criminal laws.

That the Company Distributor shall not indulge in any anti-company activities in any manner (Any lawsuit or bad propaganda against Company) and any violation of this ground will lead to immediate termination of this Agreement by the company.

That the Company Distributor will submit a detailed report of the activities undertaken by him/her in order to promote Company business in any time period on being asked by the company. Failure to submit the same will lead to the termination of his/her distributorship contract with the company along with lapse of commission / incentives being made thereof.

Waiver / Severability

No waiver by Company of any breach or default hereunder will be deemed to be a waiver of any preceding or subsequent breach or default. If any provision of this Agreement shall be deemed to be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these terms and shall not affect the validity and enforceability of any remaining provisions.

Governing Law

This Agreement shall be governed by the laws of India. You agree that any dispute or claim arising out of or relating to this Agreement shall be resolved only by the courts located in Gondia, Maharashtra and you hereby consent and submit to the jurisdiction of such courts for the purposes of litigating any such dispute or claim.

Miscellaneous

This Agreement does not, and shall not be construed to, create any partnership, joint venture, employer-employee, agency or franchisor-franchisee relationship between you and Company. You shall not assign, transfer or sublicense any or all of your rights or obligations under this Agreement without our express prior written consent. Any heading, caption or section title like distributor/stock pointer contained herein is inserted only as a matter of convenience, and in no way defines or explains any section or provision hereof. Shipping & Delivery Policy

Orders are shipped through registered Domestic courier companies only. Orders are shipped within 7 working days of your order with payment received or as per the delivery date agreed at the time of order confirmation and delivery of the shipment subject to Courier Company norms. Company is not liable for any delay in delivery by the courier company and only guarantees to hand over the consignment to the courier company within 15 working days from the date of the order and payment or as per the delivery date agreed at the time of order confirmation. Delivery of all orders will be to the registered address or shipping address of the buyer as per the online order form only at all times (Unless specified at the time of Order). Company is in no way responsible for any damage to the order while in transit to the buyer. If a Parcel reaches your place in a visibly damaged condition, refuse to accept and return the same to the courier company then and there only and inform us by email at support@pnstrade.club or support ticket request from user panel immediately.
